3. Return of Information. At such time as you no longer require the Information, you shall promptly destroy any and all copies of same, whether in paper or electronic medium, which may be in your possession.

4. Breach. In the event of a breach by you of any of the provisions hereof, Argent shall be entitled to equitable relief, including injunctive relief and specific performance. Such equitable relief shall not be exclusive remedies for your breach, Argent shall be entitled to any and all other remedies available at law or in equity.

5. You Defined. Any reference in these terms and conditions to you shall include any person or entity directly or indirectly controlled by, controlling or under common control with, you. As used herein, the term "control" shall mean the power to direct or cause the direction of the management and policies of another entity, whether through ownership of voting securities, by contract or otherwise.

6. No Waiver of Rights. No failure or delay by Argent in exercising any right or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right or remedy hereunder.

7. Choice of Law. These terms and conditions and the rights and obligations of you and Argent hereunder shall be governed by and construed in accordance with the laws of the state of Florida. You agree that any and all disputes arising, directly or indirectly, out of or relating to these terms and conditions shall be adjudicated in the courts of the state of Florida in Miami-Dade County or in the United States District Court for the Southern District of Florida, and you hereby expressly and irrevocably submit to the jurisdiction of such courts.
